LOCATION OF EQUIPMENT: _______________________________________

I, the Participant seller, hereby agree to the following terms and conditions:

1. The subject equipment is accurately portrayed in the enclosed photographs and is located at the above-noted site and meets the above-noted description and is not contaminated by exposure to hazardous material or substance and is owned by the Participant seller and is free and clear of all leases, liens, charges or encumbrances.
2. That the duly endorsed title conveyance or transfer documents for the subject equipment will be delivered to Iron Globe Auctions Ltd. at the time that this Auction Consignment Contract has been signed.
3. That Iron Globe Auctions Ltd. is hereby instructed to carry out whatever investigations as to title and encumbrances as are required, including a Personal Property Security Act search within the Province of Nova Scotia.
4. The subject equipment will not be moved or operated or put in use after the signing of this Auction Consignment Contract and further if there is any change in the physical condition or location of the subject equipment Iron Globe Auctions Ltd. will be notified immediately and this may result in the cancellation or suspension of the subject auction.
5. It is acknowledged that Iron Globe Auctions Ltd. has the absolute right to inspect any piece of equipment being listed for auction on the Site.
6. It is acknowledged that the Participant seller has the right to contract for the preparation of an Inspection Report by Iron Globe Auctions Ltd. and if there is any change in the location or condition of the subject equipment after the preparation of the Inspection Report Iron Globe Auctions Ltd. will be notified immediately and this may result in the cancellation or suspension of the subject auction.
7. The Participant seller agrees to pay the display fee, withdrawal fee and/or disposition fee posted on the Site or as agreed to between the Participant seller and Iron Globe Auctions Ltd. prior to the scheduling of an auction.
8. The Participant seller agrees that Iron Globe Auctions Ltd. may release the title transfer or conveyance documents to the Participant buyer at such time as Iron Globe Auctions Ltd. receives the full purchase price.
9. The Participant seller agrees to release possession of the subject equipment to the Participant buyer or its representative at such time as written notification is received from Iron Globe Auctions Ltd. that the full purchase price has been paid to Iron Globe Auctions Ltd.
